These Terms of Service (“Terms”) govern your access to and use of the ArakiTrade websites, applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Important notice: not investment advice

ArakiTrade provides research, analytics, and visualization tools for informational purposes only. We are not a broker-dealer, investment adviser, or financial institution, and we do not provide investment, legal, or tax advice. Any information presented through the Services is not a recommendation to buy, sell, or hold any security. You are solely responsible for your investment decisions and for verifying any information before acting on it.

Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement.

Account registration and security

• You may need to create an account to access certain features.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You agree to notify us promptly of any unauthorized use of your account.

Subscriptions, billing, and payment processing

Certain features may require a paid subscription. If you purchase a subscription, you authorize us (through our payment processor, Stripe) to charge the payment method you provide.

• Third-party processor: Payments are processed by Stripe. We do not store full payment card numbers.
• Taxes: Prices may exclude taxes unless stated otherwise. You are responsible for applicable taxes.
• Renewals and cancellation: Subscriptions may renew automatically unless you cancel. Cancellation takes effect at the end of the current billing period unless otherwise stated at purchase.
• Refunds: Fees are non-refundable except where required by law or where a refund is expressly offered at the time of purchase.

Acceptable use

You agree not to misuse the Services. For example, you will not:

• Attempt to gain unauthorized access to accounts, systems, or data.
• Interfere with or disrupt the Services, including by probing, scanning, or testing vulnerabilities without permission.
• Use automated means to scrape, extract, or harvest data from the Services in a way that degrades performance or violates access controls.
• Reverse engineer, decompile, or attempt to discover source code or underlying methods except where such restriction is prohibited by law.
• Use the Services to violate any applicable law, regulation, or third-party right.

Intellectual property

The Services, including software, visual design, text, graphics, and all related content and intellectual property rights, are owned by ArakiTrade or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use.

Your content and settings

You may input or create certain data within the Services (for example, watchlists, presets, and preferences). You retain rights to your content. You grant us a license to host, store, process, and display your content as necessary to provide the Services.

Third-party services and links

The Services may include links to third-party websites or services, or may rely on third-party providers for certain functionality. Third-party services are governed by their own terms and policies. We are not responsible for third-party content, availability, or practices.

Service availability and changes

We may modify, suspend, or discontinue the Services (in whole or in part) at any time. We do not guarantee that the Services will be uninterrupted, error-free, or available at all times.

Disclaimers

The Services and all content are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

Financial markets are volatile. Data and analytics may be delayed, incomplete, or inaccurate. You agree that you will not rely on the Services as a sole basis for any decision.

Limitation of liability

To the fullest extent permitted by law, ArakiTrade and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of the Services.

To the fullest extent permitted by law, our total liability for claims arising out of or relating to the Services will not exceed the greater of (a) the amount you paid to ArakiTrade for the Services in the 12 months before the event giving rise to the claim, or (b) US $100.

Indemnification

You agree to indemnify and hold harmless ArakiTrade and its affiliates, officers, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Services or your violation of these Terms.

Termination

We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms or if necessary to protect the Services or other users. You may stop using the Services at any time.

Changes to these Terms

We may update these Terms from time to time. The “Effective date” at the top of this page indicates when they were last revised. If changes are material, we will take reasonable steps to provide notice.

Governing law and venue

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of laws principles. To the extent permitted by law, you agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.
